SERVORAPRISE ECOSYSTEM — OVERVIEW
1. Introduction & Acceptance
Welcome to the ServoraPrise Ecosystem (the “Site”) operated by Servora Enterprise Limited (“ServoraPrise Ecosystem™”, “we”, “us”, or “our”). By accessing or using our website, services, tools (including the ServoraPrise Content Downloader / “SM Saver”), mobile applications, or any other products (collectively, the “Services”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Services.
2. Definitions
“User”, “you” means any person or entity using the Services. “Account” means user account registered with ServoraPrise. “Vendor Exchange” refers to digital funds exchange services. “VTU” means virtual top-up (airtime/data) services. “Escrow” means funds held by ServoraPrise pending release per an applicable agreement.
3. Scope of Services
We provide a range of services described on our Services page (Custom Aluminium Fabrication, POS & Utility Services, VTU, Vendor Exchange, E-commerce logistics, Tech & Smart Automation, Commission Agency, Recharge Republic civic arm). The Services and any specific product features are subject to change without prior notice.
4. Eligibility & Accounts
You must be at least 18 years old and legally capable of forming binding contracts. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
5. KYC / AML / Identity Verification
Where a Service involves financial transactions (Vendor Exchange, POS, Escrow, VTU in some cases), you must satisfactorily complete identity verification and provide KYC documentation on request. We may restrict, suspend, or close accounts that fail verification or present suspected AML/CFT risk. These measures are required to comply with applicable Nigerian AML/CFT rules and CBN guidance.
6. Service-Specific Rules
- VTU / Top-ups: Recharges are processed instantly where networks approve; occasional failures can occur. If a recharge fails, follow our dispute process; refunds or reversal rules are in the Refund & Returns Policy
- Vendor Exchange (digital funds / crypto): Exchange services are offered subject to liquidity, pricing, and regulatory limits. Crypto prices are volatile; we do not guarantee price stability. All exchange transactions require KYC; we may set transaction limits or refuse transactions for compliance reasons. See Vendor Exchange Policy
- POS & Merchant Services: Merchants must accept the POS Outlet Terms; we may withhold settlement or freeze accounts where fraud or disputes are suspected.
- Escrow & Funds Holding: Where we hold funds, we act as a custodian per the Escrow Policy; release conditions must be satisfied before funds are released.
- Content Downloader / SM Saver: The tool is provided for personal, non-commercial use only. You must have the legal right to download or store any content. We reserve the right to block or remove content that infringes third-party rights and to act on takedown notices per our DMCA-style process. See Content Downloader Policy
7. Fees & Payment
All fees, charges, and payment schedules will be published where applicable. You’re responsible for all applicable taxes. We may change fees with notice; continued use after notice constitutes acceptance.
8. Refunds & Returns
Refunds depend on the Service and are governed by our Refund & Returns Policy. Consumer protections under the Federal Competition & Consumer Protection Act may apply.
9. Acceptable Use & Prohibited Conduct
You must not use Services to: break laws, defraud, infringe IP rights, distribute malware, engage in money-laundering, bypass restrictions, scrape the Site, or interfere with Site operations. We may suspend or terminate accounts for violations.
10. Intellectual Property
All Site content (designs, logos, software, text, images) is our or our licensors’ property. You may not reuse our trademarks, logos, or copyrighted materials except as expressly authorized.
11. DMCA / Copyright Takedown
We respect copyright rights and maintain a takedown and counter-notice procedure. If you believe your copyright is infringed, use the procedure in our DMCA / Copyright Policy. False claims may have legal consequences.
12. Warranties & Disclaimers
Services are provided “AS IS” and “AS AVAILABLE.” We expressly disclaim all warranties (including fitness for purpose). For software/service SLAs, see the Software SLA.
13. Limitation of Liability
To the maximum extent permitted by law, ServoraPrise's total liability for any claim arising from the Services is limited to the amount you paid to us in the last 12 months (or ₦[X] if you paid nothing). We are not liable for indirect, incidental, special, or consequential damages.
14. Indemnity
You indemnify ServoraPrise against claims, losses, or damages arising from your breach of the Terms or misuse of the Services.
15. Suspension & Termination
We may suspend or terminate access for policy breach, suspected fraud, legal obligation, or inactivity. Termination does not relieve you of outstanding obligations.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. For disputes: negotiation → mediation → final binding arbitration in Nigeria (default location: Lagos, unless otherwise agreed). Optionally, courts jurisdiction may apply upon discussion.
17. Changes to Terms
We may modify these Terms. Material changes will be posted and, where required, notified. Continued use after changes indicates acceptance.
18. Other Policies
These Terms incorporate our Privacy Policy, Refund Policy, KYC/AML Policy, Escrow Policy, Cookie Policy, DMCA / Copyright Policy, and any service-specific agreements. Where conflict exists, the specific policy for a service governs that service.
